CONTRACT №2

Delivery

The equipment under the Present Contract is to be delivered as follows:

By the time stipulated the equipment is to be manufactured in accordance with the conditions of the contract, tested, packed and delivered f.o.b.

All the questions connected with shipment of the goods are to be settled in accordance with the Buyers’ instructions or the instructions of the Buyer’s Forwarding Agent.

By the 1st of the month precedent the month of shipment the Sellers are to notify the Buyers by cable or fax about the date of the readiness of the goods for shipment from the port, the same notification is to be sent to the Buyers’ Forwarding Agent.

Within 24 hours after shipment of the goods the Sellers are to let the Buyers know by cable or fax the date of shipment, Contract and Trans numbers, number of the Bill of Lading, the denomination of the equipment, the quantity of cases, the weight of the vessel and the port of destination. The above notification must be confirmed by a letter.

The delivery date is understood to be the date of the “clean-on-board” Bill of Lading issued in the name of the Buyers, destination … Port of Russia.

If on expiration of 30 days from the date of the readiness of the goods for shipment the shipping facilities are not available and so the goods can not be shipped from the port, the

Sellers have the right to hand over the goods to the Buyers’ Forwarding Agent. In this case the date of the Forwarding Agent’s receipt is considered to be the date of delivery.

Условия поставки

Продавец на сумму, указанную в п.1, поставит в течение 6 месяцев с даты подписания Контракта товары, перечисленные в Приложении №1 к Контракту, которое является его неотъемлемой частью.

Поставки осуществляются на условиях СИФ, Нигерийский порт.

При отгрузках товара следующие документы должны направляться Покупателю:

а) коносамент – три оригинала и четыре копии, включая один оригинал авиапочтой агенту Покупателя в порту, два оригинала со счетом, одну копию Покупателю (авиапочтой), одну копию авиапочтой агенту Покупателя, две копии капитанской почтой; б) отгрузочная спецификация в шести экз., включая один экз. авиапочтой для

Покупателя, в порту, три экз. со счетом, один экз. капитанской почтой, один экз. авиапочтой агенту Покупателя в порту; в) сертификат качества в двух экз., включая один экз. капитанской почтой и один со счетом;

г) упаковочный лист в четырех экз., включая два экз. с грузом в месте №1, два экз. в каждом грузовом месте (один экз. внутри ящика и один экз. в специальном кармане, укрепленном снаружи ящика); д) страховой полис со счетом – 1 экз.

Дата коносамента, выписанная на данную партию товара, считается датой поставки товара.

Продавец за свой счет должен известить Покупателя телеграммой или телексом об отгрузке товара в течение 24 часов после ухода судна из порта погрузки, указывая название судна, дату отправки, наименование товара, номер контракта и коносамента.

Окончательная приемка товара осуществляется после прибытия товара на склад Получателя.

DIALOGUE

-That’s fine. We expected it in October as indicated in the Contract. And what about the second consignment?

-Боюсь, что это очень затруднительно, т.к. мы зависим от наших поставщиков, а они не могут поставить раньше. А какой срок вас бы устроил?

-Our clients need them in three months.

-К сожалению, я не могу ничего обещать сейчас, но выясню это и посмотрю, что можно сделать.

-I would appreciate if you did it as soon as possible and informed me of your decision.

MARKING AND PACKING

According to the Conditions of the Contract the Seller is responsible to the Buyer for any damage to the goods. Therefore, the goods must be properly packed and marked. This clause stipulates the type of packing and the method of marking.
